Zerlancer Terms of Use

1. Operator and scope
Zerlancer is operated by Zertical Private Limited, an India registered company, CIN U62011GJ2026PTC182179. Registered office: Blk A, 606 Prahladnagar, B/H Titanium City Center, Jivraj Park, Ahmedabad 380051, Gujarat, India. Contact: support@msmenxt.com; +91 95876 47474.
These terms govern access to our platform. The Privacy Policy explains personal data processing separately. Paid services, if introduced, also use the Membership Cancellation and Refund Policy and the price and feature disclosures shown before purchase. Payments are currently disabled; these terms do not activate checkout or contract features.
2. Marketplace intermediary; independent user contracts
Zerlancer provides technology to help independent clients and freelancers discover one another and communicate. We are not the employer, recruiter, contractor, subcontractor, agent or representative of either party merely because they use the platform. Unless Zertical expressly signs a separate agreement in its own name, it is not a party to their project agreement.
Users independently choose counterparties and agree scope, price, deadlines, acceptance, intellectual property, confidentiality, tax and payment arrangements. They remain responsible for performing and enforcing those agreements. Zerlancer does not hold project funds, provide escrow, guarantee collection or insure projects. We may provide reporting, recordkeeping or voluntary assistance without undertaking an obligation to arbitrate, recover money or decide the parties' legal rights.
This describes our operational role; it does not assert automatic statutory intermediary immunity or remove duties imposed on Zertical by law.
3. No guarantee of work, hiring or earnings
An account, membership, proposal, recommendation, message or profile does not guarantee a job, contract, response, suitable applicant, ranking, income, hiring outcome, payment or project success. Membership purchases access to the expressly described platform features, not an employment placement, minimum number of leads or financial return. Recommendations and matches are suggestions; users must assess suitability themselves.
4. Eligibility and account security
Users must be at least 18, legally capable of contracting and authorised to act for any business they represent. Provide accurate information and use an approved email provider domain. Temporary, disposable, unapproved company and unknown domains may be rejected. Mailbox verification or administrator review does not certify identity, qualifications, financial standing or trustworthiness.
Keep credentials confidential. You are responsible for authorised use of your account and must report suspected compromise promptly. Do not impersonate others, sell accounts, evade restrictions or misrepresent qualifications. We may require reasonable verification, limit access or suspend accounts for security, unlawful conduct, material breaches or legal requirements. We will provide notice and an opportunity to raise a grievance where appropriate and legally permitted.
5. Platform rules
Do not post fraudulent jobs, false reviews, unlawful or discriminatory requirements, infringing content, malware, spam, abusive messages or confidential information you lack authority to disclose. Do not scrape private data, bypass access controls, evade contact restrictions, manipulate rankings, exploit bugs or harass users. No advance fee may be demanded from a freelancer merely to secure a promised job; report suspicious requests.
Clients must describe work honestly and honour their agreed obligations. Freelancers must represent skills truthfully, deliver as agreed and use third party materials lawfully. Each party is responsible for its own licences, tax filings, invoices, statutory deductions and professional advice. We do not provide legal, tax, investment or employment advice through ordinary marketplace features.
6. Content, permissions and confidentiality
You retain ownership of content you provide, subject to your project agreements. You grant Zertical a nonexclusive permission to host, transmit, display, format and process that content only as reasonably necessary to operate, secure and support the service, fulfil your instructions and comply with law. This is not a licence to sell private proposals or freely reuse confidential project work.
Do not upload another person's confidential or personal data without proper authority and an appropriate basis. You control what you choose to publish or share. Contact masking reduces casual disclosure but is not an absolute anonymity guarantee; do not place secrets in public text. Counterparties remain responsible for lawful use of information they receive.
7. Membership, cancellation and refunds
Only features expressly identified as available are included. Prices, currency, taxes, period, activation and any renewal arrangement must be shown before payment. No paid feature or renewal is authorised merely by accepting these terms. We charge no percentage commission on user project payments; platform membership fees, applicable taxes and third party charges are distinct.
Subject to mandatory law and the exceptions in the separate refund policy, activated membership fees are not refundable for change of mind, unused access, lack of work, unsuccessful proposals or voluntary early departure. Cancellation prevents a future renewal where renewal is offered; it does not itself generate a refund for an elapsed or unused period. These rules cannot defeat a refund or other remedy required by law.
8. Availability and user risks
Subject to mandatory legal rights, platform features are provided as available without a promise of uninterrupted operation, error free recommendations or the accuracy of user content. We may maintain, modify or discontinue features. Material reductions to an already purchased service will be handled consistently with its purchase disclosures and applicable law; a general change clause is not permission to charge for an unavailable service.
Exercise independent care before sharing information, paying a counterparty or accepting deliverables. Links and independent providers may have their own terms. File downloads remain restricted where security clearance is unavailable; we do not claim that unscanned files are safe.
9. Limitation of liability
To the maximum extent permitted by applicable law, Zertical is not responsible for another user's acts, omissions, project quality, payment failure or contractual breach merely because the parties met through Zerlancer. To that extent, we exclude indirect or consequential losses, lost profits, anticipated earnings, lost opportunities and business interruption arising from use of the platform.
For legally limitable claims arising from our own platform service, our aggregate liability is limited to the greater of INR 1,000 or the platform fees actually paid by the claimant to Zertical in the twelve months before the event giving rise to the claim. Project amounts paid between users are not platform fees. Its application is subject to mandatory law.
Nothing excludes fraud, wilful misconduct, any liability that cannot legally be limited, statutory consumer remedies, our statutory personal data/security duties, or a competent authority's powers. Calling the platform an intermediary does not eliminate liability for Zertical's own conduct.
10. User indemnity
To the extent lawful, you indemnify Zertical against reasonable third party claims and costs caused by your unlawful content, infringement, deliberate misrepresentation or material breach of these terms. This does not cover claims caused by Zertical's own breach, negligence or misconduct. We will notify you reasonably, permit appropriate participation and will not impose a settlement creating an admission or obligation for you without your consent.
11. Grievances, disputes and governing law
Contact support@msmenxt.com with the account reference, facts and remedy sought. Do not send passwords or unnecessary identity documents. Our Grievance Officer is Bhupesh Purohit. Address grievances to support@msmenxt.com with the subject “Zerlancer grievance”, or to the Grievance Officer at Zertical Private Limited’s registered office above.
Indian law governs, subject to overriding applicable law. Courts in Ahmedabad, Gujarat have jurisdiction to the extent lawful, without restricting a consumer's competent forum or other statutory venue. No clause bars lawful complaints to regulators, consumer commissions or other competent authorities, nor requires the waiver of mandatory remedies.
12. Changes and termination
We will identify the current terms version and notify material changes appropriately. New charges and renewals require the disclosures and consent applicable at the time. Account closure ends ordinary access but does not erase accrued obligations or records lawfully retained. If a clause is unenforceable, the remainder continues to the extent lawful. No retrospective change will be used to remove an already accrued statutory right.
